These Terms of Service (“Terms”) govern access to and use of Villario (the “Service”), a property-booking marketplace operated by Cyridium Ltd, a company registered in England and Wales (registered office: 19 Brambles Crescent, Blythe Valley, Solihull, B90 8DJ) (“Villario”, “we”, “us”). By creating an account, browsing a listing, making a booking, or listing a property, you agree to be bound by these Terms.
Two kinds of user, one set of Terms: These Terms apply to everyone who uses Villario. Guests should also read the Cancellation & Refund Policy. Hosts must additionally accept the Host Agreement and, where guest identification is collected on their properties, the Guest ID Data Processing Agreement before they can publish a listing or accept bookings.
1. Definitions
Guest — a user who searches, enquires about, or books a Listing.
Host — a user who lists one or more Properties for booking, directly or via a Company account.
Property / Listing — a room type or whole-property accommodation published on Villario.
Booking — a confirmed or pending reservation of a Listing for a specific date range.
Content — listings, photos, descriptions, messages, reviews, and any other material submitted to Villario by a Host or Guest.
Service Fee — the fee Villario charges for facilitating a Booking, described in Section 6.
2. Who we are and what Villario does
Villario is an online marketplace that connects Guests with Hosts who list accommodation for short- and medium-term stays. Unless a Listing expressly states that the Property is provided directly by Cyridium Ltd, the accommodation contract for each Booking is between the Guest and the Host — Villario is not a party to that contract, does not own or operate the Properties listed, and does not act as either party’s agent for the purpose of the accommodation itself. Villario’s role is to provide the technology, payment facilitation, messaging, and support infrastructure that makes the Booking possible.
Because Villario is an intermediary, we do not inspect, and cannot guarantee the accuracy of, every Listing. Hosts are solely responsible for the accuracy of their Listing content and for the condition, legality, safety, and fitness of their Property — see Section 10 and our Host Agreement.
3. Eligibility and accounts
You must be at least 18 years old and capable of forming a binding contract to create an account.
You must provide accurate registration information and keep it up to date, including your preferred language/locale, which we use to show you Listing content in your own language where a Host has provided a translation.
One person may not maintain more than one active account except where a Host account is used to operate multiple Companies.
You are responsible for all activity that occurs under your account and for keeping your credentials confidential.
Depending on the Property’s jurisdiction, we or the Host may be required to collect identity documents from Guests before check-in — see Section 8 and our Privacy Policy.
4. Listings and how a Booking is made
Hosts control how a Booking request is handled for each Property:
Instant Book — where a Host has enabled instant booking, your Booking is confirmed automatically once payment succeeds.
Request to Book — otherwise, your Booking is created as pending and must be confirmed by the Host before it becomes binding. Payment is still collected at the time of the request; if the Host declines or the request expires, the payment is released back to you in accordance with Section 7.
The total price shown before you confirm a Booking reflects the nightly rate, any applicable pricing-rule adjustments (seasonal, length-of-stay, last-minute, early-bird, or weekend pricing set by the Host), mandatory and selected optional add-ons (e.g. cleaning fees, extra-guest charges), taxes the Host has configured for the Property’s jurisdiction, and, where applicable, a refundable damage deposit shown as a separate line item. If you request the price in a display currency different from the Listing’s currency, the converted amount is calculated using the exchange rate in effect at the time of Booking and is not subsequently adjusted for later rate movements.
Once a Booking is confirmed, the price, currency, and the cancellation policy that applied at the time of Booking are locked to that Booking and will not change even if the Host later edits the Listing’s pricing or policies.
5. Payments, payouts, and fees
Payments are processed by our payment provider (Stripe, unless a Listing states otherwise). We do not store your full card details.
Host payouts are made via connected payout accounts. Villario deducts its Service Fee from the Booking total before the remaining balance is transferred to the Host; the applicable rate is disclosed to Hosts in their dashboard before they publish a Listing and to Guests as part of the itemised price breakdown before Booking.
Damage deposits, where applicable, are authorised or charged separately from the accommodation price and are held, released, or captured according to the Property’s configured deposit terms.
Hosts are solely responsible for determining, charging, and remitting any taxes applicable to their Listings (see the Host Agreement, Section 4).
6. Cancellations, refunds, and no-shows
Each Property has a cancellation policy set by its Host (flexible, moderate, strict, or a custom tiered policy). The policy in effect at the time you complete a Booking is shown to you before payment and is snapshotted against your Booking, so it cannot be changed retroactively. 7. Guest identity verification
Some jurisdictions require accommodation providers to collect and retain identity information from guests. Where this applies to a Property you have booked, we will email you a secure, one-time link to submit the required details directly to Villario; you should never send identity documents to a Host by message or email. 8. Reviews and messaging
Guests may submit one review per completed Booking, rating the stay and optionally leaving a written comment; Hosts may post a single public response to each review. Reviews must reflect a genuine stay and comply with our Acceptable Use Policy — we (or, for reviews, our administrators) may remove content that violates it. Booking-related messages between Guests and Hosts, and pre-booking enquiries, are provided through Villario’s messaging feature and are subject to the same Acceptable Use Policy; do not use messaging to solicit payment or booking outside of Villario.
9. Host obligations
If you list a Property, you separately agree to our Host Agreement, which covers listing accuracy, local law and licensing compliance, tax responsibility, delegation of property management, and payout terms. Where you enable identity collection for your guests, you must first accept our current Guest ID Data Processing Agreement — Villario will not enable collection on your Property until you have done so.
10. Prohibited conduct
Detailed rules on prohibited listings, prohibited conduct, and enforcement are set out in our Acceptable Use Policy, which is incorporated into these Terms by reference.
11. Disclaimers
Villario is a marketplace, not an accommodation provider. We do not warrant the accuracy of Listing content, the condition, safety, or legality of any Property, or the conduct of any Guest or Host. To the fullest extent permitted by law, Villario disclaims all liability for the acts or omissions of Hosts and Guests, including property condition, safety incidents, and the accuracy of amenity, capacity, or pricing information supplied by a Host.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under English law, including liability for death or personal injury caused by negligence, or for fraud.
12. Indemnity
You agree to indemnify Villario against any claims, losses, or expenses arising from your breach of these Terms, your Listing content (if you are a Host), or your conduct as a Guest or Host, save to the extent caused by our own breach or negligence.
13. Suspension and termination
We may suspend or terminate your account for a breach of these Terms, our Acceptable Use Policy, or applicable law, in accordance with the enforcement provisions of the Acceptable Use Policy. You may close your account at any time; open Bookings must be resolved (completed or cancelled) first.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email or an in-product notice at least 14 days before they take effect. Continued use of Villario after that date constitutes acceptance of the revised Terms.
15. Governing law and disputes
These Terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to any mandatory consumer protections available to you in your country of residence.
