Host Agreement>

This Host Agreement applies to every user who lists a Property on Villario (a “Host”), whether individually or through a Company account, and to anyone granted delegated management access to a Property (a “Property Manager”). It supplements our Terms of Service and Acceptable Use Policy.
1. Listing accuracy and responsibility for the Property
You are solely responsible for the accuracy of everything in your Listing: description, photos, amenities, room/capacity configuration, pricing, and policies.
You must keep your availability calendar accurate. If you also list the same Property on another channel (Airbnb, Booking.com, Vrbo, Expedia) or sync it from an external calendar (iCal) or Property Management System, you are responsible for the accuracy of that sync and for resolving any double-bookings it causes.
You are solely responsible for the condition, safety, legality, insurance, and habitability of the Property itself. Villario does not inspect Properties and is not a party to the accommodation contract between you and the Guest.
If you designate another verified user (an owner, or a Property Manager who holds message-handling permission) as the publicly displayed host for a Listing, you remain responsible for that Listing under this Agreement.
Insurance. You must maintain, at your own expense, appropriate insurance cover for the Property and for your activities as a Host. This includes, as a minimum, buildings and/or contents insurance that covers short-term letting, and public-liability insurance with a limit of indemnity appropriate to the risks of the Property and the number of Guests it can accommodate. Villario may, from time to time, ask you to provide evidence of current cover (for example a certificate of insurance or policy schedule); failing to provide satisfactory evidence within a reasonable period may result in restriction or suspension of your Listing under Section 10.
Villario does not provide, and has no obligation to provide, any form of Host guarantee, damage protection, or insurance product. You remain solely responsible for any loss, damage, or liability arising from the Property or a Booking.
2. Pricing, availability, and Bookings
You control your base pricing, any pricing rules (seasonal, length-of-stay, last-minute, early-bird, weekend), taxes, and add-ons for each Property or room type.
If you enable Instant Book, you are agreeing in advance to accept any Booking that meets your stated availability and capacity rules — you may not decline or cancel an Instant Book reservation except as permitted under Section 6 of our Cancellation & Refund Policy.
If a Property requires Request to Book, you must respond to Booking requests promptly; requests that expire without a response are treated as declined and the Guest's payment is released.
You set the minimum amount of advance notice you require before check-in; a Guest cannot submit a request inside that window. You may separately opt in to accepting shorter-notice ("fast-track") requests — doing so is your explicit agreement to automatically confirm a fast-track request you don't respond to within your stated response window, without individual review, rather than have it expire and decline as an ordinary request would.
Once a Booking is confirmed, the price, currency, and cancellation policy that applied at that moment are locked to that Booking regardless of later changes you make to the Listing.
3. Payments and payouts
Guest payments are collected via our payment provider (Stripe Connect, unless otherwise agreed) and paid out to your connected payout account.
Villario deducts a Service Fee from each Booking total before transferring the remaining balance to you. The Service Fee is tiered by length of stay: a threshold number of nights (shown in your Host dashboard) separates a short-stay rate from a long-stay rate, and each rate may be either a percentage of the Booking total or a flat amount per Booking. Where a percentage rate applies, it may be subject to a minimum and/or maximum amount. The Service Fee is calculated on the full Booking total, including the accommodation price and any add-ons you charge (e.g. a cleaning fee) — the sole exclusion is any refundable damage deposit, which is not Villario revenue.
Villario's payment provider charges a card-processing fee on the full amount collected, including any damage deposit. Rather than absorb this cost, Villario deducts it alongside the Service Fee, shown as a separate line from the Service Fee wherever your payout for a Booking is itemised. Once the actual processing fee charged for that card is known, that figure is used; only where it cannot be determined does Villario fall back to an estimate based on our payment provider's own published rates for the card network typically used in the Booking's currency. Villario does not reproduce those rates here, or display them in your Host dashboard, since they are set by our payment provider and can change independently of this Agreement — see Stripe's current pricing for the rates in effect at any given time.
The Service Fee structure for your Property is shown in your Host dashboard before you publish a Listing.
Refundable damage deposits are collected as part of the same Booking charge and released back to the Guest via a refund when due.
You must keep your payout account details current. Villario is not responsible for payouts delayed or misdirected due to inaccurate payout details you have provided.
4. Taxes
You are solely responsible for your own tax compliance. Villario lets you configure per-jurisdiction tax rules (e.g. VAT, occupancy tax, city tax) so they're itemised and collected as part of the Booking price, but Villario does not determine what taxes apply to your Property, does not remit tax on your behalf, and does not provide tax advice. You are responsible for registering with the relevant tax authority, correctly configuring your tax rules, and remitting any tax due.
5. Guest identity verification
Some jurisdictions legally require you, as the accommodation provider, to collect and retain identification details from guests. Where this applies to your Property, Villario can collect this on your behalf and make a limited, time-boxed summary available to you — but you must first accept our current Guest ID Data Processing Agreement. Collection cannot be enabled for your Property, and reminder emails to guests cannot be sent, until you have done so. You remain the Data Controller for this data; Villario processes it strictly on your documented instructions, as set out in that Agreement.
Where required identification is not submitted in time, Villario automatically cancels the Booking at check-in — this is not a decision you make. Villario emails the Guest a reminder ahead of check-in and, if identification is still missing once check-in is within 24 hours, sends the Guest a further warning that the Booking will be cancelled and notifies you directly, so you have visibility before it happens. If identification still has not been submitted by check-in, the Booking is cancelled automatically and the Guest is refunded in full, regardless of the Property's normal cancellation policy — this is a legal-compliance safeguard, not a step you can override, delay, or opt out of on a per-Booking basis. Villario does not verify the identification submitted or chase the Guest beyond the emails described above. A cancellation on this ground is treated as described in our Cancellation & Refund Policy.
6. Trader status and verification (Digital Services Act)
This section is a draft pending legal review and may change before the marketplace features it describes are enabled. We will update the date at the top of this page and notify Hosts of any material change.
The EU Digital Services Act (Article 30) requires Villario, as an online marketplace, to collect and verify certain information about Hosts who qualify as "traders" — broadly, Hosts letting a Property as part of a business or profession, rather than as a private individual. This section applies to you if you are, or become, a trader.
When this section applies. You are treated as a trader for the purposes of Article 30 if either of the following applies (or such other criteria as Villario may publish in the Host dashboard from time to time):
you declare, when setting up payouts, that you are letting the Property in the course of a trade, business, craft, or profession; or
you set up your Villario account as a company or other business entity, rather than as a private individual.
Villario currently relies on your own declaration to determine trader status. It does not independently infer trader status from the number of Properties you list, how often or how long they are booked, or other Listing activity.
Declaring your status. You must accurately declare whether you are acting as a trader or as a private individual when setting up payouts, and keep that declaration up to date if your circumstances change.
Self-certification. If you are a trader, you must certify that any product or service you offer through your Listing complies with applicable EU product-safety and consumer-protection law, and keep that certification current.
Providing accurate information. You must provide, and keep accurate and up to date, the identity and business information Article 30 requires — including, where applicable, your registered business name and trade-register number. Some of this is obtained from information you already provide during Stripe Connect onboarding; see our Privacy Policy, Section 7, for how that works and what it requires your separate agreement to.
Verification, correction, and consequences of inaccurate data. We make reasonable efforts to verify the information above. If we identify information that appears missing, inaccurate, or outdated, we will ask you to correct it within a reasonable period. If you do not, we may restrict your ability to publish or keep active a Listing until the information is corrected, in addition to any other enforcement available to us under Section 10.
Public disclosure. If you are classified as a trader, certain information (your name/business name, trade-register number where applicable, and confirmation you have certified compliance as described above) is intended to be shown publicly on your Host profile, as Article 30 requires.
7. Property Managers and delegated access
You may grant another user access to help manage a Property, and control exactly which actions they may perform (rooms, availability, bookings, reviews, messages, analytics, pricing, photos).
You remain responsible under this Agreement for all actions taken on your Property by anyone you grant access to.
You may revoke a Property Manager's access at any time.
8. Reviews
Guests may leave one review per completed Booking. You may post a single public response to each review. You must not offer or accept compensation in exchange for a review or its removal, or otherwise attempt to manipulate your review score — see our Acceptable Use Policy. Villario administrators may hide a review that violates that policy. Reviews are ordinarily publicly visible for 3 years from the date of the stay before removal or anonymisation — see our Privacy Policy, Section 5.
Substantial renovation or change of ownership. You may request that reviews written before a substantial renovation or change of ownership of your Property be removed from its public Listing and overall rating, or archived with a clear “pre-renovation” (or equivalent) label so they remain visible for historical context without affecting the current rating. “Substantial” means structural work, a complete refurbishment of a key living area, or a significant change to a bathroom, kitchen, or layout — not routine maintenance, redecoration, or minor cosmetic updates. You must provide supporting evidence (for example, before/after photos, invoices, or a completion certificate); a Villario administrator reviews each request individually and decides whether it qualifies. This decision is always made by a human reviewer, never automated. A change of ownership or long-term management of the Property is treated the same way, on request and with appropriate evidence of the change.
Guests retain their own right to request erasure of a review they wrote, under our Privacy Policy, regardless of any request you make under this Section.
9. Listing content and licence
You retain ownership of all content you upload or supply in connection with a Listing, including photographs, descriptions, floor plans, and videos (“Listing Content”).
By publishing, or continuing to publish, a Listing you grant Villario a worldwide, non-exclusive, royalty-free, transferable, and sub-licensable licence to use, reproduce, modify (for formatting or technical purposes only), distribute, display, and perform that Listing Content in connection with operating, promoting, and improving the Villario platform and related services. This licence continues for as long as the Listing Content remains on the platform, and for a reasonable period afterwards for archival, legal, and customer-support purposes.
You represent and warrant that you hold all rights necessary to grant the licence above, and that the Listing Content does not infringe any third party's intellectual-property or other rights. You remain responsible for any claim arising from your Listing Content.
10. Verification, risk management, and account standing
Villario may verify a Property or Company listing, and may flag, suspend, or deactivate a Listing that we determine violates this Agreement, our Acceptable Use Policy, or applicable law. We may also cancel a Booking and issue a refund to the affected Guest where enforcement requires it.
Where we identify a concern with your Host account, we record it as an account standing event in one of several risk categories — guest safety, fraud, policy violations, or payment risk — together with the specific reason. You'll always be notified by email when an event in one of these categories is issued or cleared, and can review your full history of them at any time in your Host dashboard. Separately, we may open an internal onboarding-risk review while we investigate an unconfirmed concern; a warning or violation recorded under this kind of review is not itself shown to you or notified, since the review may conclude with no finding at all. This does not apply to a suspension: because a suspension actually restricts your ability to take new Bookings, one is always shown to you and notified — including one opened under an onboarding-risk review — regardless of category, both when issued and when lifted.
Events fall into three levels, in increasing order of seriousness. A warning is a record for your awareness and does not restrict your ability to take new Bookings. A violation is more serious and, while it also does not restrict new Bookings on its own, repeated or unresolved violations may lead to a suspension. A suspension pauses new Bookings for all of your Properties until it is resolved — Bookings already confirmed before a suspension are not affected. Once we've reviewed and resolved the underlying concern, we clear the event and, if it was a suspension, new Bookings reopen immediately.
Repeated or serious violations may result in suspension or termination of your Host account under Section 14 below.
Review of suspension. If your Host account or a Listing is suspended under this Section, you may request a review by emailing support@villario.co.uk within 14 days of the suspension notice, setting out the reasons you believe the suspension should be lifted or modified. Villario will consider the request and respond within a reasonable period (normally 14 days); we may uphold, modify, or lift the suspension. Submitting a review request does not itself reinstate Bookings or lift the suspension while the review is ongoing. This review process is discretionary and does not create any contractual right of appeal beyond the rights you already have under applicable law.
11. Premium features
Certain features (currently: guest-facing instalment/payment-plan checkout) require an active premium Host subscription plan. A feature we have not yet gated behind a plan is available to every Host at no extra charge, even where a future paid plan is anticipated for it — we will never charge you for a feature retroactively for having used it before it became a paid feature. The specific features gated behind a given plan, and its availability and pricing, may change from time to time and are shown in your Host dashboard.
12. Indemnity and liability
You agree to indemnify Villario against claims, losses, or expenses arising from your Listing, your Property, or your conduct as a Host, including claims brought by a Guest relating to the Property itself. To the fullest extent permitted by law, Villario's liability to you is limited to the Service Fees you have paid in the 12 months preceding the claim, except where liability cannot be excluded or limited under English law.
13. Force majeure and extraordinary circumstances
Neither you nor Villario is liable for any failure or delay in performing obligations under this Agreement where that failure or delay results from circumstances beyond the reasonable control of the affected party, including (but not limited to) natural disasters, epidemic or pandemic, government action or restriction, war, terrorism, civil unrest, utility or infrastructure failure, or other events of a similar nature beyond that party's reasonable control (a “Force Majeure Event”).
If a Force Majeure Event prevents you from honouring a confirmed Booking, you must notify Villario and the Guest as soon as reasonably practicable. The Booking is then handled under the extraordinary-circumstances provisions of our Cancellation & Refund Policy; Villario's own obligations to process payouts or refunds remain subject to that same Policy.
This clause does not relieve you of your ongoing responsibility to keep your Listing and availability accurate, or of your responsibility for the Property's insurance under Section 1.
14. Termination
You may deactivate your Listings and close your Host account at any time, subject to honouring or properly cancelling any confirmed Bookings. We may suspend or terminate your Host account for breach of this Agreement, our Terms of Service, or our Acceptable Use Policy.
15. Changes to this Agreement
We may update this Agreement from time to time. Material changes will be notified by email or an in-product notice at least 14 days before they take effect. Continuing to operate a Listing after that date constitutes acceptance of the revised Agreement.
16. Governing law
This Agreement is governed by the laws of England and Wales, consistent with our Terms of Service.
